This Free Digital Product License Agreement (“Agreement”) is a legal agreement between the Licensee (“You”) and Samolevsky.com (“Licensor”) regarding the use of the Licensed Asset (“Assets”), which are graphic design assets provided for free.

By downloading, using, or distributing the Assets, you agree to the terms outlined in this Agreement. If you do not agree to these terms, you must not download or use the Assets.

 

 

1. PARTIES TO THE LICENSE AGREEMENT

1.1 - Licensee refers to:

(a) An individual or company as indicated during the download process.

(b) If downloading on behalf of an employer, only the employer is the Licensee, and you represent that you have legal authority to bind the employer to this Agreement.

1.2 - Permitted Users

The number of users (or seats) permitted to use the Licensed Asset is limited to a single user unless explicitly stated otherwise.

 

 

2. ASSET MANAGEMENT

Licensee may store the Licensed Asset:

• On a personal or company-owned server or device.

• In a cloud storage service or digital asset manager, provided that access is limited to the Licensee only.

Licensee may not make the Licensed Asset publicly available in a way that allows others to download, extract, or redistribute it.

 

 

3. PERMITTED USES AND QUANTITY LIMITATIONS

3.1 Commercial Use: Physical and Digital End Products

✔ Licensee may use the Licensed Asset for up to 5,000 combined total physical or digital products, including but not limited to:

• Printed products (e.g., apparel, stickers, posters).

• Product packaging (e.g., labels, boxes).

• Digital products (e.g., social media graphics, website elements).

• Digital or print publications (e.g., e-books, magazines).

Restrictions:

• The Licensed Asset must be significantly different from the original, requiring time, effort, and skill to create a new product.

• The primary value of the end product must not be derived from the Licensed Asset itself.

• Resale or sublicensing of the Licensed Asset in source file format is prohibited.

3.2 Commercial Use: Advertisements & Promotions

• Unlimited physical advertisements within a local market (e.g., billboards, flyers, posters within a 200-mile radius).

• Use on one business social media account is permitted.

3.3 Commercial Use: Broadcast & Streaming

• Use in broadcast content (e.g., TV, film, online streaming) is limited to 500,000 lifetime viewers.

 

 

4. PROHIBITED USES

The following uses are strictly prohibited:

✖︎ Resale or Redistribution – Licensee may not resell, sublicense, or distribute the Licensed Asset as-is or in a manner that allows others to extract or modify it.

✖︎ On-Demand Applications – Use in print-on-demand or create-on-demand services (e.g., Redbubble, Zazzle, POD services) is prohibited.

✖︎ Software, Apps, or Video Games – Use in websites, mobile apps, desktop software, or video games is prohibited.

✖︎ Trademark & Copyright Claims – Licensee may not register the Licensed Asset as a trademark, service mark, or copyrightable design.

✖︎ Offensive or Illegal Use – Use in defamatory, pornographic, unlawful, or hate-based content is strictly prohibited.

 

 

5. ATTRIBUTION

Attribution is not required unless specifically stated at the time of download.

 

 

6. TERMINATION

This license automatically terminates if:

• Licensee violates any term of this Agreement.

• Licensee distributes the Licensed Asset in an unauthorized manner.

Upon termination, Licensee must immediately stop using the Licensed Asset and delete all copies.

 

 

7. DISCLAIMER & LIMITATION OF LIABILITY

• The Licensed Asset is provided “as is” without warranties of any kind.

• Licensor is not responsible for any damages resulting from the use or inability to use the Licensed Asset.

• In no event shall Licensor’s liability exceed $0 (the cost of the free Asset).

 

 

8. GENERAL TERMS

 

• This Agreement may be updated at any time, and continued use of the Licensed Asset constitutes acceptance of the revised terms.

• This Agreement is governed by the laws of [Your Country/State].
